Irreconcilable differences between partners or members in an LLC, voter deadlock, self-dealing, or because one partner has taken control of the partnership without the authority or election of the other partners may trigger the need to initiate a partnership dispute or dissolution action. The purpose of such action is to a judicial determination of the ownership rights and potential winding up of the partnership or LLC’s affairs. However, often overlooked is how the parties are to going manage the business while the dispute is pending. Indeed, a disagreement that triggered the need for a lawsuit is not going to disappear once the action is filed. Indeed, it is likely to get more contentious. Similarly, the parties may be so entrenched in the fight that they do not factor in what is in the best interest of the business, or how they can achieve an orderly liquidation or sale of the business if required. Often the best solution is the appointment of a receiver. The receiver will step into the shoes of the manager and make decisions, pursuant to the appointment order, regarding the operations of the business and its assets. Learn from the pros to successfully navigate partnership dispute receiverships and avoid the pitfalls and traps that can arise for the unwary. |
